  The Interim Administrative Measures for the Record-filing of the Incorporation and Change of Foreign-invested Enterprises (Order of the Ministry of Commerce [2016] No.3, the "Measures") have been issued by the Ministry of Commerce in order to implement the reform of the foreign investment management of the State, and promote the overall implementation of the pre-establishment national treatment plus negative list system. The Measures specify that the incorporation and change of foreign-invested enterprises not involved in special administrative measures for foreign investment access are subject to record-filing instead of examination and approval; after the completion of record-filing, foreign-invested enterprises may obtain the Record-filing Receipts for the Incorporation of Foreign-invested Enterprises or the Record-filing Receipts for the Change of Foreign-invested Enterprises. The matters relating to the registration of foreign-invested enterprises at the customs are hereby announced as follows in order to properly conduct the connection and implementation of the reform:

  I. To apply for being registered as a consignee or a consigner of imported or exported goods, a foreign-invested enterprise shall submit the documents stipulated by Items 1, 2 and 4, Paragraph 1 of Article 24 of the Administrative Provisions of the Customs of the People's Republic of China on the Registration of Customs Declaration Entities (Order of the General Administration of Customs No.221) and any of the following documents, whose original copies shall be submitted for verification:
  1. copy of the record-filing and registration form for a foreign trade dealer;
  2. copy of the approval certificate of a foreign-invested enterprise; or
  3. copy of the Record-filing Receipts for the Incorporation of Foreign-invested Enterprises or the Record-filing Receipts for the Change of Foreign-invested Enterprises.

  II. The aforesaid provisions shall apply mutatis mutandis to the handling of matters relating to the registration applied by enterprises invested by Hong Kong or Macao Special Administrative Region or Taiwan at the customs.

  The Announcement shall come into force as of the date of promulgation.
