Announcement of the Economy, Trade and Information Commission of Shenzhen Municipality on the Filing Administration of the Formation and Modification of Foreign-invested Enterprises
In accordance with the Decision of the Standing Committee of the National People's Congress on Amending the Law of the People's Republic of China on Foreign-invested Enterprises and Three Other Laws, from October 1, 2016, the formation and modification of foreign-invested enterprises and enterprises invested by Taiwan compatriots not involved in the special access administrative measures as prescribed by the state shall be subject to the filing administration in lieu of examination and approval. For the purpose of effectively conducting the transitional work regarding the filing in lieu of examination and approval for foreign investment in Shenzhen, the relevant matters are hereby announced as follows:
I. For any matter concerning the formation or modification of a foreign-invested enterprise for which the application has been accepted before October 1, 2016, as long as the examination and approval procedure for the matter has not been completed and the matter is within the scope of filing, the examination and approval procedure shall be terminated and the application for the matter shall be sent back. The foreign-invested enterprise or foreign investor shall undergo the filing formalities in accordance with the measures of the Ministry of Commerce for the filing administration. The matters involved in the special access administrative measures as prescribed by the state shall remain subject to the examination and approval formalities.
II. From October 1, 2016, foreign-invested enterprises or foreign investors shall file their applications for the filing matters in the comprehensive foreign investment management information system (http：//wzzxbs.mofcom.gov.cn); the applications for the matters involved in the special access administrative measures as prescribed by the state shall be filed at the website for the foreign-invested enterprise examination and approval administration in Shenzhen (http：//wzfw.szjmxxw.gov.cn)
III. From the date of the issuance of this Announcement, to handle a filing matter, a foreign-invested enterprise or investor shall obtain the receipt on filing at the economic promotion bureau of the district where the enterprise is located or the investor resides, or at the Economic Service Bureau of the New District; the examination and approval authority for the matters involved in the special access administrative measures as prescribed by the state are determined temporarily in accordance with the authority division between the city and the district.
